Platform purpose

The platform is designed to help sponsors and co-sponsors convert investment ideas into appropriately structured, documented and administered programs. Prime Integro brings together strategic, transactional, operating and technology-supported capabilities within a repeatable sponsor framework.

Services are tailored to the applicable mandate and may be performed by the platform operator, a dedicated sponsor or GP, a co-sponsor, an appointed manager or independent professional service providers. The platform does not automatically become the issuer, general partner, investment manager or adviser for a particular program.

Translate the investment thesis into an executable operating plan with milestones, budgets, management requirements, financing needs and potential realization pathways.

Thorough due diligence

Coordinate commercial, financial, operational, legal, tax, environmental, technical and other appropriate diligence through qualified internal and external resources.

Transaction and capital execution

Purchase and sale documentation

Support negotiation and coordination of letters of intent, purchase and sale agreements, ancillary arrangements and closing workstreams with transaction counsel.

Capital arrangements

Disposition and realization

Evaluate refinancing, recapitalization, sale and other realization alternatives, and coordinate execution through the responsible entities and advisers.

Technology and administration layer

Authorized sponsor and GP representatives may use the secure platform environment for CRM, document workflow, offering administration, reporting coordination and stakeholder management. Prospective and existing investors are directed separately to Penacle Capital for qualification, offering access and investor-portal services.

Technology and professional-service providers remain independent parties operating under their own agreements, responsibilities and regulatory obligations.

Mandate-specific engagement

Platform capabilities are not automatically included in every program. The scope, responsible parties, compensation, authority, conflicts and applicable limitations must be established in the relevant sponsor, co-sponsor, management, service-provider and offering documents.
